Resumen
The objective of this paper is the study of the good use of power in the company by the managers and the board of directors. In this sense, the paper is a journey through different conceptions of power that have presented several authorities in the field, from which a definition of power is presented that allows us to have a broader idea about it. Subsequently, the distinction between power, potestas and autoritas, and its application in organizations is analyzed. Then, the good use of the power that should be exercised by the manager, who is expected to assume the responsibility of being a leader and, therefore –from this conception– to be virtuous, who considers the human being as the most important in the company and, at the same time, who contributes to improving results for shareholders, employees and for the common good in general. Finally, the contribution of the board of directors to good governance in the company is studied.
